4. Client Responsibilities

Clients must have the right to use materials supplied to us and remain responsible for the legality and accuracy of their products, claims, offers, and business practices.
Delays in access, information, approvals, payment, or third-party cooperation may affect schedules, performance, and delivery dates.
5. Fees, Billing, and Taxes
Fees, deposits, recurring charges, payment schedules, expenses, refund terms, and taxes are specified in the applicable proposal or agreement. Unless otherwise agreed in writing, invoices are due according to the stated payment terms. We may pause work or access to managed services when an undisputed payment is overdue.
6. Changes in Scope
Requests outside the agreed scope may require a revised estimate, timeline, or written change approval. We will make reasonable efforts to explain the effect of requested changes before performing additional billable work.
7. Intellectual Property
JolexWeb Labs and its licensors retain ownership of the website, brand elements, methods, templates, software, know-how, and pre-existing materials. Client ownership or licensing of project deliverables is determined by the applicable written agreement and may depend on full payment.
Clients retain ownership of materials they provide and grant us a limited license to use those materials as necessary to perform the services. Unless a client agreement states otherwise, we may identify a client by name and display publicly released work in our portfolio, subject to confidentiality obligations and reasonable written restrictions.
8. Third-Party Platforms and Services
Projects may depend on third-party platforms such as hosting providers, content management systems, advertising networks, social platforms, analytics tools, email systems, CRM services, plugins, or APIs. Third parties operate under their own terms, fees, availability, and privacy practices. We are not responsible for changes, outages, suspensions, data loss, policy enforcement, or discontinued features controlled by those providers.
9. Marketing and Performance Results
We use professional judgment and reasonable care, but marketing and technology outcomes depend on many factors outside our control, including competition, budgets, market conditions, platform algorithms, customer demand, client implementation, website history, and third-party policies. We do not guarantee rankings, traffic, leads, revenue, advertising approval, or a specific return on investment.
10. Confidentiality
Confidential information exchanged during a project must be handled according to any applicable client agreement. Each party should use reasonable care to protect non-public business information and use it only for authorized purposes. This does not cover information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source.

12. Disclaimers

14. Indemnity
To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful misuse of the website, infringement caused by materials you provide, or material breach of these Terms. This provision does not apply to the extent a claim results from our own unlawful conduct.
15. Suspension and Termination
We may restrict website access or suspend services when reasonably necessary to address security threats, unlawful use, material breach, nonpayment, or risks to clients, third parties, or systems. Project termination rights and transition responsibilities are governed by the applicable written agreement.
16. Governing Law and Disputes
Unless a signed client agreement states otherwise, these Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Before starting formal proceedings, the parties agree to make a good-faith effort to resolve disputes through written notice and reasonable discussion. Courts with appropriate jurisdiction in the Philippines will have jurisdiction, subject to any mandatory consumer or local rights that cannot be waived.
17. International Users
The website may be accessed from countries where local requirements differ. You are responsible for complying with laws applicable to your use of the website. These Terms do not limit statutory rights that cannot lawfully be limited.
